Delegated Spending Authority

These Delegated Spending Authority Terms ("DSA Terms") govern your use of the optional delegated authorization feature provided by Layout, Inc. ("Layout," "we," "us"). These DSA Terms supplement our Terms and Conditions, our Generative AI Terms, and our Privacy Policy. They apply only if you have manually disabled per-transaction verification in your account settings. If you have not disabled that setting, these DSA Terms do not apply to you. By disabling per-transaction verification, you agree to these DSA Terms. If there is a conflict between these DSA Terms and our Terms and Conditions with respect to delegated spending, these DSA Terms control.

Overview

By default, every order placed through Layout is subject to verification by your card issuer and the applicable card network. Your issuer decides, on each transaction, whether the transaction is verified or challenged. When a transaction is challenged, you must complete an authentication step before the order can be placed. This is the default setting on all accounts and requires no action from you.

Delegated Spending Authority is an optional feature that changes how often you complete that authentication step. It does not remove your confirmation from the ordering process. When Delegated Spending Authority is enabled, you authorize a fixed amount of spending in advance, and orders within that amount can be placed after a simple text confirmation rather than a separate authentication flow. You must manually disable per-transaction verification in your account settings to enable this feature.

How Authorization Works

When you enable Delegated Spending Authority, you complete an authentication step that authorizes an Authorization Pool of $150. The Authorization Pool is not a balance of funds and is not money held by Layout. It represents the total amount of spending you have authorized in advance through a single authentication event.

Orders placed through Layout draw down the Authorization Pool by the total charged amount of each order. When the Authorization Pool is exhausted, Layout will request authentication again to establish a new Authorization Pool. Based on typical order values, an Authorization Pool of $150 covers approximately ten orders, though the actual number depends on your order totals.

Layout does not currently offer the ability to increase or decrease the Authorization Pool. This amount is fixed at $150. We may introduce adjustable Authorization Pool amounts in the future.

Order Confirmation

Delegated Spending Authority does not place orders without your confirmation. Before any order is submitted, Layout will present the order to you and request confirmation through your chat interface or by text message, whichever you respond to first. You confirm by responding affirmatively. You decline by responding negatively.

The difference under Delegated Spending Authority is the form of that confirmation. With per-transaction verification enabled, confirmation requires a separate authentication flow, such as a six-digit code or authentication through our website or mobile application. With Delegated Spending Authority enabled, confirmation is a simple text or speech response within your existing interface.

You are responsible for reviewing what you confirm. Confirming an order authorizes that order. Once you confirm, Layout submits the order to the merchant and the transaction proceeds. Orders cannot be cancelled by Layout after confirmation.

Daily Spending Limit

Your daily spending limit applies at all times, whether or not Delegated Spending Authority is enabled, and operates independently of the Authorization Pool. The daily spending limit is set to $50 by default and may be adjusted between $10 and $150. Layout will not place orders that exceed your daily spending limit, and Layout does not currently support individual orders above $150.

Both your daily spending limit and your Authorization Pool must permit an order for that order to be placed. Neither limit overrides the other.

Supported Interfaces

Delegated Spending Authority applies to orders placed through Layout's official connectors and applications. This includes the Layout connector in Claude, the Layout connector in ChatGPT, the Layout connector in Grok, and the Layout iOS application, including orders initiated through Siri and Apple Intelligence.

Layout cannot reliably control the behavior of third-party interfaces we do not operate. Orders placed through connectors, integrations, or environments outside those listed above are not covered by the standard protections described in these DSA Terms. Claims arising from orders placed outside our official connectors and applications will be reviewed individually as described in our Refund Policy at https://layout.link/legal/refund-policy.

Pricing and Order Totals

Layout retrieves cart and pricing information directly from merchant systems rather than parsing published menus. Order totals presented to you reflect live merchant data at the time the order is built, including subtotal, applicable taxes, and order total.

Layout does not add gratuity to orders by default. Where a merchant applies fees, those fees are set by the merchant and are included in the order total presented to you before confirmation. Pricing, availability, and fees are controlled by participating merchants and may change.

Duplicate and Unintended Orders

Layout guides third-party AI assistants and clearly reports the actions it has taken, but Layout does not control the behavior of third-party chat interfaces. If a third-party assistant submits a duplicate or unintended request, Layout may not be able to prevent the resulting order.

If you believe a duplicate or unintended order resulted from a failure of Layout's connector rather than the third-party interface, you may submit evidence for review. These claims are reviewed individually. Refund eligibility and process are governed by our Refund Policy at https://layout.link/legal/refund-policy.

Account Security and Authorized Use

You are responsible for all activity on your account, including orders placed by any person you allow to access your account, your devices, or your connected AI assistants. Orders placed by anyone with access to your account while Delegated Spending Authority is enabled are treated as authorized by you.

You should enable Delegated Spending Authority only on accounts and devices you control. If you believe your account has been accessed without your permission, disable Delegated Spending Authority and contact us immediately.

Order Records

Order records are available to you in the Layout iOS application and web application. You should review your order records regularly. If you identify an order you did not intend, contact us promptly so we can review it.

Revoking Delegated Spending Authority

You may re-enable per-transaction verification at any time in your account settings. Doing so ends your current Authorization Pool. If you later disable per-transaction verification again, you will be asked to authenticate to establish a new Authorization Pool.

Revoking Delegated Spending Authority does not affect orders you have already confirmed. Once you confirm an order, Layout submits it to the merchant and it cannot be recalled.

Suspension

Layout may suspend, restrict, or disable Delegated Spending Authority on your account at any time, with or without notice, if we reasonably believe it is necessary to protect you, Layout, or our merchants. This includes suspected fraud, unusual activity, misuse of the services, or violation of our Terms and Conditions or Generative AI Terms. Suspension of Delegated Spending Authority returns your account to per-transaction verification and does not otherwise limit your use of the services.

Card Data

Layout does not store raw card data. Card information is tokenized as described in our Terms and Conditions and Privacy Policy. Delegated Spending Authority does not change how your card information is stored or handled.

Card Network Terms

Transactions placed through Layout are subject to the rules of your card issuer and the applicable card network. Under current card network rules, transactions authorized through an approved authentication event are treated as authorized by the cardholder. Your issuer may decline any transaction at its discretion, and your issuer's terms continue to apply to your account.

Errors and Refunds

Layout works to make our services accurate and reliable. Where Layout is responsible for an order error, we will work with you to resolve it. Eligibility, process, and timing for order errors and refunds are governed by our Refund Policy at https://layout.link/legal/refund-policy.

Limitation of Liability

The limitation of liability in our Terms and Conditions applies fully to these DSA Terms and to any order placed while Delegated Spending Authority is enabled. Layout is not liable for the acts or omissions of any third-party AI assistant, platform, provider, or merchant.

Changes to These DSA Terms

Layout may update these DSA Terms from time to time as this feature changes. Where we make material changes, we will ask you to review and accept the updated DSA Terms before continuing to use Delegated Spending Authority. Continued use of Delegated Spending Authority after updated DSA Terms become effective constitutes acceptance of the revised DSA Terms.
