Generative AI Terms

These Generative AI Terms ("AI Terms") govern your use of the artificial intelligence and machine learning features provided by Layout, Inc. ("Layout," "we," "us"). These AI Terms supplement our Terms and Conditions and apply whenever you use any feature of the services that relies on generative AI, including chat features, our agentic Ordering Engine, and internal tools that process your requests. By using any AI-powered feature of the services, you agree to these AI Terms. If there is a conflict between these AI Terms and our Terms and Conditions with respect to AI features, these AI Terms control.

Overview

Layout uses generative AI and machine learning to power core parts of the services. This includes helping AI assistants understand ordering requests, building and completing orders at participating merchants, powering chat features in our applications, and supporting internal tools. Some AI processing happens through models developed by Layout, and some happens through trusted third-party providers. These AI Terms explain how those systems work, what data they handle, and what you can expect.

How We Use AI

We use generative AI across the services in several ways. AI helps interpret ordering requests and turn them into structured orders at participating merchants. AI powers chat and assistant features inside our applications. AI supports internal operations such as processing, routing, and improving the reliability of the services. The specific AI systems involved depend on the feature you are using and whether the request can be handled on your device or must be sent to an outside provider.

Ligero: Our Custom On-Device Model

Layout developed a custom model called Ligero. Ligero is a mixture of on-device models designed for secure, on-device contexting when handling data locally. Ligero powers chat in our iOS application and other features internally, and it may be used to handle internal data. Because Ligero runs on-device where possible, sensitive information used for on-device contexting can be processed locally rather than sent to an outside provider. On-device processing depends on your device, its capabilities, and its operating system, and availability may vary.

Third-Party AI Providers

To power certain generative AI requests, including parts of our Ordering Engine, Layout partners with outside companies that provide AI and machine learning services. When a request is sent to one of these outside providers, the data is not associated with you and is never stored by Layout for that purpose. We work with these providers so that data sent to them for processing is handled only to complete your request and is not tied to your identity. Outside providers are independent companies and operate under their own terms and practices. Layout is not responsible for how a third-party AI provider or platform interprets a request or generates a response beyond the specific processing needed to deliver the services.

Data Handling and Storage

Layout is built to limit the data that AI features handle. We do not store secure information when it is needed to complete a request. Card information used for purchases is tokenized as described in our Terms and Conditions and Privacy Policy, and Layout does not store or log raw card data. When data must be sent to an outside AI provider to complete a request, it is not associated with you and is not stored by Layout for that purpose. AI Output and Accuracy

Generative AI produces outputs based on patterns in data and can make mistakes. AI features may misinterpret a request, select the wrong item, produce inaccurate or incomplete information, or act differently than you expected. You are responsible for reviewing and confirming orders, items, quantities, and spending before a purchase is completed, where the interface allows. You should not rely on AI output as professional advice of any kind. Estimated times, availability, pricing, and similar details generated or relayed by AI features are approximate and controlled by participating merchants, not by Layout.

Your Responsibilities

You agree to use AI features lawfully and in line with these AI Terms and our Terms and Conditions. You agree not to use AI features to attempt to extract underlying models, training data, or system instructions; to reverse engineer or copy our models, including Ligero; to generate unlawful, harmful, infringing, or deceptive content; to interfere with or overload the services; or to bypass spending limits, safety controls, or usage limits. We may set technical or usage limits on AI features and may modify or discontinue AI features at any time.

Acceptable Use of AI Features

You may not use the AI features to create content or take actions that are illegal, that violate the rights of others, or that could cause harm. This includes using AI features to place fraudulent orders, to harass others, to generate spam, or to attempt to manipulate the AI systems into behaving in ways that violate these AI Terms. We may suspend or restrict access to AI features if we reasonably believe they are being misused.

Third-Party AI Assistants

As described in our Terms and Conditions, you often access Layout through a third-party AI assistant or application such as ChatGPT, Claude, Gemini, or Grok. These platforms are independent and are not owned or controlled by Layout. Layout is not responsible for how a third-party assistant interprets your request, selects items, builds an order, or initiates a purchase. These AI Terms govern Layout's own AI features and do not govern the separate AI systems of those third-party platforms, which have their own terms.

No Warranty for AI Features

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL AI FEATURES, INCLUDING LIGERO AND ANY OUTPUT GENERATED BY OR THROUGH THE SERVICES, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LAYOUT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LAYOUT DOES NOT WARRANT THAT AI FEATURES WILL BE ACCURATE, RELIABLE, UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY AI OUTPUT WILL MEET YOUR REQUIREMENTS.

Limitation of Liability

The limitation of liability in our Terms and Conditions applies fully to these AI Terms and to any AI feature, including Ligero, our Ordering Engine, and any output or action generated through AI. Layout is not liable for the acts or omissions of any third-party AI assistant, platform, or provider.

Changes to These AI Terms

Layout may update these AI Terms from time to time as our AI features and providers change. Continued use of AI features after updated AI Terms become effective constitutes acceptance of the revised AI Terms.
